Summary: These Terms govern your use of the BarnwellHub marketplace. By creating an account you agree to these Terms. Sellers are responsible for accurate listings and timely fulfillment. Buyers are responsible for payment and respectful conduct.

1. Acceptance of Terms

By accessing or using BarnwellHub ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform. These Terms apply to all users, including buyers, sellers, and visitors.

We may update these Terms at any time. We will provide at least 30 days' notice of material changes via email. Continued use of the Platform after changes take effect constitutes acceptance.

2. Eligibility

You must be at least 18 years old to create an account and use the Platform. By registering, you represent that all information you provide is accurate and that you have the legal authority to enter into these Terms. Businesses registering as sellers represent that they are duly organized and authorized to conduct commerce.

To use most Platform features, you must create an account. You are responsible for:

BarnwellHub reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 24 months.

4. Seller Terms

4.1 Seller Eligibility

To sell on BarnwellHub, you must be a legitimate farm, artisan, small business, or rural producer. BarnwellHub is not a general marketplace — we focus on authentic rural and agricultural products. We reserve the right to reject or remove sellers who do not meet our community standards.

4.2 Listing Accuracy

Sellers must provide accurate, complete, and current product information including: honest descriptions, accurate photos, correct pricing, realistic inventory counts, and truthful origin claims (e.g., "locally grown," "handmade," "organic" must be verifiable). Misleading listings will result in immediate removal and may result in account suspension.

4.3 Fulfillment Obligations

Sellers agree to: ship confirmed orders within the stated handling time (maximum 5 business days unless otherwise disclosed), provide valid tracking information, package products securely to prevent damage, and honor their stated return and refund policies. Repeated fulfillment failures may result in account suspension.

4.4 Prohibited Items

Sellers may not list: illegal items or substances, counterfeit goods, items misrepresenting their origin or quality, live animals (except as permitted by applicable law and pre-approved by BarnwellHub), items that violate third-party intellectual property rights, or any items prohibited by federal, state, or local law.

4.5 Fees and Payments

BarnwellHub charges a transaction fee on each completed sale (current fee schedule available at barnwellhub.com/fees). Fees are deducted from the seller's payout. BarnwellHub processes payouts to sellers within 3 business days of order confirmation, minus applicable fees and any outstanding dispute holds.

5. Buyer Terms

5.1 Purchase Agreement

By placing an order, buyers enter into a purchase contract directly with the seller. BarnwellHub facilitates the transaction but is not the seller of record. Buyers agree to pay the listed price plus applicable shipping and taxes.

5.2 Payment

All payments are processed through BarnwellHub's secure payment system. By submitting payment information, buyers authorize BarnwellHub to charge the full amount of the order. BarnwellHub accepts major credit cards, debit cards, and other payment methods as displayed at checkout.

5.3 Returns and Refunds

Each seller sets their own return policy, which is displayed on their store page. If a seller's policy is not stated, BarnwellHub's default policy applies: buyers may request a return within 14 days of delivery for items that are significantly not as described, damaged in transit, or not received. Disputes are handled through BarnwellHub's Resolution Center.

6. BarnwellHub's Role

BarnwellHub is a marketplace platform that connects buyers and sellers. We are not the seller of any products listed. We do not take title to goods, and we are not responsible for the quality, safety, legality, or accuracy of listed products. Our role is limited to providing the Platform infrastructure, payment processing, and dispute resolution services.

BarnwellHub owns or licenses all intellectual property in the Platform, including its trademarks, logo, software, design, and content created by BarnwellHub. Users retain ownership of their own content (product photos, descriptions, store branding) but grant BarnwellHub a non-exclusive, royalty-free license to display and use that content in connection with operating the Platform, including marketing.

9. Dispute Resolution Between Users

BarnwellHub provides a Resolution Center for buyer-seller disputes. We encourage users to first attempt to resolve disputes directly. If unresolved within 48 hours, either party may open a formal dispute through the Resolution Center. BarnwellHub's decision on disputes is final and binding for transactions conducted on the Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARNWELLHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY PRODUCTS PURCHASED THROUGH IT. BARNWELLHUB'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL FEES PAID BY YOU TO BARNWELLHUB IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless BarnwellHub, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Platform; your violation of these Terms; your violation of any applicable law; any content you submit; or your interactions with other users.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BARNWELLHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising from these Terms that cannot be resolved through BarnwellHub's dispute resolution process shall be submitted to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are not permitted.

14. Termination

BarnwellHub may suspend or terminate your access to the Platform at any time for any reason, including violation of these Terms. You may close your account at any time by contacting support. Upon termination, your right to use the Platform ceases immediately, but provisions of these Terms that by their nature should survive termination will remain in effect.
